Management Buy In of Horticulture Company
Denise Walker advised on the acquisition of an on line horticultural business by an experienced management buy in team.
The acquisition was private equity backed and the deal created a blend of pre-existing management mixed with new management. The transaction involved both dealing on the acquisition of the Company and also negotiating the terms of the relationship between management and the private equity funder.
The Sellers retained other business activities in the same sector and there was much negotiation on the terms of restriction the Sellers were willing to accept. notwithstanding the Sellers sensitivities it was essential to ensure that the Buyer the Company and the Private equity Funders investment were protected from competition by the Sellers
